CIVIL COMPLAINT
PARTIES
1. Swintastic_81, the plaintiff, is a citizen of the State of Ridgeway.
2. Ridgeway Financial Banking Holdings S.A is a legal and functioning corporation that operates
within the State of Ridgeway.
3. The defendant will be represented by the Incorporator, Samianz12, who is a citizen of the State
of Ridgeway.
ALLEGATIONS
1. The plaintiff, a shareholder (11/100 shares), alleges that Ridgeway Financial Banking Holdings
S.A broke multiple company bylaws which are:
a. Appointing members to the Board of Directors
b. Members of the Board of Directors owning shares within the company
2. Evidence of Discord DMs with Board of Director member, Redactedgrox, and the plaintiff show
that the Director admitted to having been appointed to his position by the Incorporator,
Samianz12, who claims that the Board of Directors can hold shares.
3. In Section 29 under Quorum and Required Vote under Shareholders within the Bylaws of
Ridgeway Financial Banking Holdings S.A, it states that “Directors will be elected by a majority
of the votes of the shares present in person or represented by proxy at the meeting and entitled to
vote on the election of Directors.”
4. Redactedgrox, a Board of Directors, owns 6/100 shares within Ridgeway Financial Banking
Holdings S.A as per the Shareholder Register.
5. In Section 44 under Number, Tenure, and Quorum under Board of Directors within the Bylaws
of Ridgeway Financial Banking Holdings S.A, it states that “...Directors need not be
Shareholders. Each Director will hold office until that Director's successor is elected and
qualified or until that Director's earlier resignation or removal…”
JURISDICTION
1. The jurisdiction of the Superior Court originates from Article V, Section IV of the Ridgeway
State Constitution allowing the Superior Court to “exercise original jurisdiction for all civil and
criminal cases or controversies…”
2. Ridgeway Financial Banking Holdings S.A is based in the State of Ridgeway.
TORTS
1. 5 R. Stat. § 207 - Breach of Contract
a. For the breach of company bylaws
2. 5 R. Stat. § 208 - Fraud
b. For the Incorporator, claimed that members of the Board of Directors can hold shares
and appointing members to the Board of Directors.
RELIEF
1. The plaintiff requests that the relief for Breach of Contract be $2,250 in punitive damages
2. The plaintiff requests that the relief for Fraud be $2,250 in punitive damages
3. The plaintiff requests that the court dissolves Ridgeway Financial Banking Holdings S.A and its
subsidiaries including
a. Ridgeway Financial Banking Joint Ventures
b. Ridgeway Financial Banking
c. Ridgeway Financial Wealth Management
d. BlackPoint-GunDealing
e. Ridgeway Financial Banking Acquisition Group
f. Ridgeway Association of Securities Dealers Automated Quotations (RASDAQ)
g. Bank of Ridgeway
